NetGuard / Legal & trust

Terms of service

Responsibilities, billing terms and service boundaries for using NetGuard.

Agreement and eligibility

These terms govern NetGuard, provided by Milan Dhameliya, operating under the Code Kaarigari name. Contact us by email at support@codekaarigari.com. By installing or using it, you agree on behalf of the merchant business you represent. You must have authority to bind that business, manage the store and authorize processing. If you disagree, do not use the service.

NetGuard requires a compatible Shopify plan and B2B configuration. Shopify, payment services and other providers have separate agreements. Platform integration does not imply Shopify endorsement.

Service and commercial decisions

NetGuard provides merchant-configured credit controls, order review, invoices, receivables, reminders and buyer access, subject to plan availability. Merchants retain responsibility for credit policies and commercial decisions. NetGuard does not provide financing, credit insurance, legal advice, accounting assurance, tax filing or guaranteed collection.

Checkout enforcement depends on configuration and supported flows. Monitor other order sources, held orders and balances; an automated check is not your entire credit risk process.

Merchant responsibilities

Supply accurate business, bank, buyer, payment and invoice details. Configure and verify rules before enabling them. Maintain authorized staff and company-contact access. Obtain required permissions and provide privacy notices for data you instruct us to process.

You are responsible for lawful payment terms, collection communications, taxes and invoice formats. Verify payments before recording them. Retain necessary business/legal records and protect downloaded exports.

Acceptable use

Do not use the service for unlawful activity, fraudulent invoices, harassment, unsolicited marketing, infringement, unauthorized access, security circumvention or disruption. Do not upload unnecessary sensitive personal information or content you cannot lawfully use. Do not bypass recipient opt-outs, complaints or email suppressions.

Plans, trials and charges

Your plan controls available features and limits. Prices and billing details appear in the app and Shopify approval flow. Paid subscriptions are approved and billed through Shopify in the stated currency. Applicable taxes or platform handling may affect the final invoice. A trial does not authorize a paid charge without required approval.

Upgrade, downgrade and cancellation timing is disclosed in the app. Downgrades can restrict new records or paid functionality while existing records remain visible. Changes to pricing/features will be disclosed as required before taking effect.

Cancellation and refunds

Manage the plan in Settings → Billing or uninstall through Shopify admin to stop using the app. Export necessary records first. Deletion follows the privacy policy. Cancellation does not automatically create a refund for a service period already provided.

For duplicate, incorrect or disputed charges, email support@codekaarigari.com with the store domain and Shopify invoice reference. Requests are reviewed according to circumstances and applicable law; approved adjustments use available Shopify billing mechanisms. Mandatory refund rights remain unaffected.

Data and intellectual property

You retain rights in merchant data and content. You authorize processing necessary to provide, protect and maintain the service under your instructions and the privacy policy. We retain rights in our software, designs, documentation and brand. Your plan provides a limited right to use the service for the authorized store, not software ownership. Suggestions may inform improvements without restricting your rights in your confidential information.

Availability, support and suspension

We work to maintain and support NetGuard but do not promise uninterrupted availability, fixed response times or a contractual service-level guarantee unless separately agreed in writing. Third-party changes/outages and maintenance can affect the service. Contact the published support address for assistance.

We may suspend access as reasonably necessary for abuse, security, legal obligations or material breach, with notice where practicable and lawful. Suspension does not remove applicable statutory rights.

Service limitations

To the extent permitted by law, the service is provided as available without an implied guarantee of fitness for every purpose, error-free operation or a commercial outcome. Verify relevant calculations, decisions, payment instructions and records. Obligations that cannot lawfully be excluded remain unaffected.

Liability

To the extent permitted by law, neither party is liable to the other for indirect or consequential losses, lost profits or business interruption arising from this agreement. Our aggregate liability arising from NetGuard is limited to the fees paid for it in the twelve months preceding the event giving rise to the claim.

These limits do not apply where prohibited, including liabilities that law requires to remain uncapped. They do not remove statutory rights or responsibility for fraud or deliberate misconduct.

Disputes and updates

Contact support first so we can investigate and try to resolve a dispute. These terms do not impose mandatory arbitration or waive legally required remedies. Governing law and competent forum are determined by applicable law and any separately executed agreement.

We may update these terms with notice of material changes where required. Continued use after a properly notified change indicates acceptance to the extent lawful. If a provision is unenforceable, the rest remain effective. A separate signed agreement prevails where it expressly conflicts.
